1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Caiged AI Limited (trading as CiteWorth), a company registered in England and Wales under company number [Company Number], with its registered office at Suite RA01, 195-197 Wood Street, Walthamstow, London E17 3NU, United Kingdom ("CiteWorth", "we", "us", or "our").

By accessing or using the CiteWorth platform (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

CiteWorth provides a software-as-a-service platform that monitors and analyses citations of your websites across AI-powered search engines, including but not limited to Google AI Overviews, Bing Copilot, Perplexity, ChatGPT Search, Brave Search, Tavily, You.com, Kagi, and Phind.

The Service includes citation monitoring, analytics, content generation tools, schema markup auditing, and IndexNow integration for search engine notification.

3. Account Registration and Eligibility

3.1. You must be at least 18 years old and capable of forming a binding contract under English law to use the Service.

3.2. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Subscription Plans and Payment

4.1. CiteWorth offers subscription plans (Free and Pro) with different features and usage limits as described on our Pricing page.

4.2. All prices are stated in British Pounds Sterling (GBP).

4.3. Subscription fees are billed in advance on a monthly basis and are non-refundable except as required by law or as explicitly stated in these Terms.

4.4. Payment processing is handled securely through Stripe. By providing payment information, you authorise us to charge the applicable fees to your chosen payment method.

4.5. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

4.6. We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Service Commitment

5.1. CiteWorth provides tools and recommendations to help improve your website's visibility in AI search engines. Results depend on many factors outside our control, including AI search engine algorithms, content quality, and competitive landscape.

5.2. For best results, we recommend that you:

• Implement our schema markup recommendations
• Address NAP (Name, Address, Phone) consistency issues identified by our platform
• Create high-quality, answer-optimised content
• Submit pages via our IndexNow integration

5.3. Our platform monitors and reports on citations but does not guarantee specific placement or visibility in any AI search engine.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Violate the intellectual property rights of CiteWorth or any third party
• Attempt to gain unauthorised access to the Service or its related systems
• Use automated means to access the Service except through our official API (where available)
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Share your account credentials with others or allow others to access your account
• Use the Service to monitor websites you do not own or have explicit authorisation to monitor

7. Intellectual Property Rights

7.1. The Service, including all content, features, and functionality, is owned by Caiged AI Limited and is protected by United Kingdom and international copyright, trademark, and other intellectual property laws.

7.2. You retain all rights to your data and content. By using the Service, you grant us a limited licence to process your data solely for the purpose of providing the Service.

7.3. Content generated by our AI tools is provided to you with a non-exclusive, worldwide licence to use, modify, and publish as you see fit.

8. Data Protection and Privacy

We process your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data.

9. Service Availability and Modifications

9.1. While we strive to maintain high availability, we do not guarantee that the Service will be uninterrupted or error-free. We may suspend access to the Service for maintenance or updates.

9.2. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

10. Limitation of Liability

10.1. To the maximum extent permitted by English law, CiteWorth shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

10.2. Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10.3. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

11. Termination

11.1. You may terminate your account at any time by cancelling your subscription through your account settings.

11.2. We may suspend or terminate your access to the Service if you breach these Terms or if we are required to do so by law.

11.3. Upon termination, your right to use the Service will immediately cease. We will retain your data in accordance with our Privacy Policy and applicable law.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
